Terms of Service & License Agreement

The foundational commercial contract and operating terms between your retail store enterprise and Mobile Shop Management System (MSMS).

By registering an Admin account or logging in as staff, you agree to follow these commercial terms of software usage.
Store Owners are solely responsible for ensuring the accuracy of GST tax filings, HSN codes, and regulatory reporting to Government tax authorities.
Our SMS and WhatsApp messaging APIs must be used exclusively for transactional invoices, repair status updates, and opted-in store reminders—no third-party spamming.
You agree not to reverse engineer, decompile, or attempt to bypass our multi-branch data isolation boundaries or RBAC security enforcement.
Section 01

1. Software License Grant & Authorized Access

Subject to your complete adherence to these Terms of Service, Mobile Shop Management System ("MSMS Enterprise") grants your registered retail enterprise a limited, revocable, non-exclusive, non-transferable cloud software license to operate our suite of multi-store management tools.

This license explicitly covers POS invoicing, IMEI inventory tracking, repair service center Job Cards, employee RBAC governance, and EMI financing modules across your designated store branch locations.

Section 02

2. Store Owner Accountability & Staff Credentials

As the verified Store Owner (authenticated via Google OAuth or designated enterprise onboarding), you maintain primary liability and administration rights over your enterprise ecosystem. You agree to:

  • Accurate Employee Mapping: Ensure all registered employees are properly assigned to their actual physical branch locations to uphold multi-store data integrity.
  • Credential Security: Maintain strict security over administrative passwords and OAuth session keys. You are legally responsible for all financial and inventory transactions executed under staff credentials provisioned by your administrative desk.
  • Prohibited Actions: You shall not authorize unauthorized outside parties to access internal wholesale supplier cost ledgers or bypass the integrated Role-Based Access Control (RBAC) engine.

3. GST, Tax Calculations & Statutory Disclaimer

While MSMS incorporates an advanced billing engine designed to calculate commercial Goods and Services Tax (GST, CGST, SGST, IGST), format HSN/SAC tariff classifications, and output standardized thermal invoice print layouts, we are an engineering software provider—not a formal accounting or financial tax consultancy.

⚠️ Statutory Liability Disclaimer: Store operators remain 100% legally and financially liable for validating their final tax invoices, filing timely GST returns (GSTR-1, GSTR-3B) with appropriate commercial tax authorities, and retaining hard-copy or verified digital audit trails.

4. Acceptable Use of SMS & WhatsApp Messaging APIs

Our platform integrates with automated communications gateways to send transactional receipt notifications, EMI due date reminders, and technical repair diagnostic updates directly to customer mobile handsets.

You agree to abide by all national Telecom Commercial Communications Customer Preference Regulations (TCCCPR). You are strictly forbidden from transmitting unsolicited deceptive marketing broadcasts, prohibited lottery scams, or unauthorized advertising blasts through our messaging infrastructure. Violation of this clause will trigger instant administrative account suspension without refund.

5. Peripheral POS Hardware Compatibility

MSMS is engineered to interface seamlessly with standard USB/Bluetooth barcode scanners, ESC/POS 58mm and 80mm thermal receipt printers, and electronic cash drawers via standard web printing APIs. However, we do not warrant universal driver interoperability across legacy proprietary hardware devices manufactured by unverified third-party vendors.

6. Governing Law & Commercial Jurisdiction

These Terms of Service and any commercial disputes arising from multi-store software usage shall be interpreted, governed, and settled exclusively under the regulatory statutes and judicial jurisprudence of commercial courts situated in our corporate headquarters district, without regard to principles of conflicts of laws.
